A. Definitions

“Sentegrate” means Sentegrate Pty Ltd, ABN 12 614 720 204.

"Preconfigured Home Automation Kit" means a pre-configured and customized hardware kit of smart home controller and other devices, that work together as one integrated system to provide multiple smart home functions and security. This kit is based on Homeowner requirements provided by an installer or electrician to Sentegrate, that is, Sentegrate will not be involved in requirements gathering from the Homeowner.

“Installer” means the person or persons or business entity whose name and ABN (if applicable) is set out in the online, electronic or physical order form as the buyer. The Installer may purchase the Preconfigured Home Automation Kit for their own use or on-selling to another Homeowner.

“Homeowner” means the owner or authorised representative of the owner of the property where the Preconfigured Home Automation Kit will be installed.

“Premises” means the property where the Preconfigured Home Automation Kit is installed for service.

“Sales Agreement” means the agreement entered into Sentegrate and buyer of any Sentegrate Preconfigured Home Automation kit or service under which the sale is executed.

Sentegrate and the Installer consent that the online or signed physical order, known as the “Order”, by the Installer and the terms and conditions of sales set out below creates the “Sale Agreement” between the two parties. The Installer accepts the terms and conditions stated in this Sale Agreement by placing an order with Sentegrate.

B. Products and Services

    1. Sentegrate will supply Preconfigured Home Automation Kit to the Installer as outlined in the Order.
    2. Sentegrate will provide installation and post installation warranty support as outlined in the Order.
    3. Sentegrate will pass on to the Homeowner authority to use Sentegrate Preconfigured Home Automation Kit including perpetual usage license for use of this kit system.
    4. Sentegrate will pass on all third-party software products and associated licenses required to operate the Preconfigured Home Automation Kit to the Homeowner. The Homeowner will be responsible for renewal of all third-party software upon expiry. Sentegrate will supply all the relevant third-party licensing to the Homeowner in an “as is” state and all associated terms and conditions would apply to the Homeowner with no expressed or implied warranty of any kind provided by Sentegrate.
    5. The Preconfigured Home Automation Kit can be integrated with some compatible devices owned by Homeowner such as Television, Internet enabled Air Conditioning, etc. The Installer will need to provide detailed information about the Homeowner supplied devices during the configuration stage of the Preconfigured Home Automation Kit prior to shipment. Sentegrate will determine compatibility of these devices prior to accepting it for integration.
    6. The Installer will provide written acceptance for solution immediately after the post installation demonstration by Sentegrate personnel.

C. Fees and Payments

    1. The Installer agrees to pay for:
      1. the Preconfigured Home Automation Kit and services as per this Sales Agreement
      2. The agreed price includes four (4) weeks post installation warranty for defect fixes and configuration updates, and 12 months support as outlined under section G.
    2. Any provision of utilities or services at the Premises including electrical, Internet service or site preparation work such as electrical wiring, connection, physical installation of the Preconfigured Home Automation Kit items are not covered under the Sentegrate Preconfigured Home Automation Kit pricing. All such provision and installation will be directly paid for by the Installer or the Homeowner per arrangement between them.
    3. On placement of the order, part of the order price will be immediately payable as specified in the tax invoice
    4. The remaining payment will be due for payment upon Installer acceptance of the solution after the completion of installation or 30 days after the post installation demonstration by Sentegrate whichever comes first. Sentegrate will issue a final invoice for payment for this remaining amount.
    5. Sentegrate invoice terms are net 15 days unless otherwise specified.

D. Order Cancellation and Refunds

    1. The Installer will be able to cancel an order under exceptional circumstances and will be entitled to following refunds depending on the order fulfilment stage the order is cancelled
      1. 30% of the total sales value will be charged as administration fee for cancellation prior to shipment
      2. 50% of the total sales value will be charged as administration fee for cancellation after the shipment and prior to installation. Installer will be liable for returning all the hardware to Sentegrate office in NSW
      3. The order cannot be cancelled after installation.

E. Installer Responsibilities

    1. The Installer will ensure that the Preconfigured Home Automation Kit order represent agreed smart home services by the Homeowner based on their requirements, proposed design by the Installer including any risk assessment performed by the Installer and the Installer is authorised by the Homeowner to represent their requirements to Sentegrate until the completion of the installation and acceptance of the system.
    2. The Installer will be responsible for ensuring that the products and components ordered by the Installer corresponds and conforms to any statute or regulations in force.
    3. The Installer acknowledges that all required power and data wiring requirements will be completed prior to the Preconfigured Home Automation Kit by the Installer or the Homeowner.
    4. The Installer will be responsible for providing customisation details as accurately as possible to Sentegrate in advance of the installation which will be considered baseline for any future changes.
    5. The Installer is responsible for ensuring the Internet Service Provider connection router is configured to support Sentegrate installation and support such as port forwarding. Basic networking and router configuration skills are required to configure the homeowner’s router for the system to work correctly.
    6. The Installer acknowledges that the Installer and the Homeowner will provide consent for Sentegrate technicians to have remote access to their Preconfigured Home Automation Kit to provide support, perform health checks and maintenance during and after installation. Any restriction of Sentegrate access to the Preconfigured Home Automation Kit may result in full or partial breach of warranty conditions resulting in the warranty being void.
    7. The Installer acknowledges that the Installer or the Homeowner will perform maintenance of the Preconfigured Home Automation Kit as recommended by Sentegrate. The Installer acknowledges that all Homeowner responsibilities outlined in this Sales Agreement will be communicated to and performed by the Homeowner. Any failure to comply with their responsibilities may result in fully or partially voiding the Sentegrate Warranty outlined in this document. Other Homeowner responsibilities include:
      1. if the Homeowner is not the registered proprietor of the premises where the Preconfigured Home Automation Kit will be implemented, then the Homeowner must obtain consent from the registered owner for installation of the Preconfigured Home Automation Kit.
      2. the Homeowner will keep the Preconfigured Home Automation Kit powered on and running at all times as designed including regularly recharging or changing batteries for the battery powered devices.
      3. The Homeowner will ensure high quality and stable internet connection to the Premise is available and active for operation and support of the Preconfigured Home Automation Kit. H

F. Use of Preconfigured Home Automation Kit

    1. The Installer or the Homeowner must use the Preconfigured Home Automation Kit in accordance with any instructions provided by Sentegrate and must not use the system in a manner contrary to those instructions.
    2. The Installer or the Homeowner must ensure all recommended maintenance of the solution including scheduled battery replacement, reboots and testing are performed regularly for smooth functioning of the solution.
    3. The Installer or the Homeowner must not interfere with, damage or disassemble the Preconfigured Home Automation Kit or do anything which might be reasonably expected to prevent its normal operation.
    4. The Installer or the Homeowner must not allow any person to undertake any work in respect of the equipment unless that person is properly licensed in accordance with all applicable laws and appropriately skilled and competent to undertake the relevant work.
    5. To the extent permitted by law, Sentegrate has no liability for any damage or failure of the Preconfigured Home Automation Kit caused by the work undertaken by a person other than Sentegrate.
    6. The Installer acknowledges that the security features of the Preconfigured Home Automation Kit may detect and deter but cannot prevent unlawful or unauthorised entry to the installed premises, theft of property, loss or damage to property.
    7. The Sentegrate Preconfigured Home Automation Kit based security system comprises of the components offered under the combined base, security and control packages; the Installer acknowledges that any exclusion of the security components from the order would result in non-compliance to the Australian standards for Security Systems as stipulated by AS 2201.
    8. The Installer acknowledges that the communication between the Preconfigured Home Automation Kit and Homeowners’ mobile device may fail due to any hardware, software or network communication failure and cannot be controlled by Sentegrate.

G. Sentegrate Responsibilities

    1. Sentegrate will implement and hand over the solution to the Installer in a timely manner and as per their specified requirements.
    2. Sentegrate will provide preinstallation cabling guide, product guide, installation guide and operational guide to the Installer.
    3. Sentegrate will take control measures to keep the controller system access and remote access credentials (username and password) secure and will only be used by authorised Sentegrate personnel for authorised support services.

H. Warranty and Support for Preconfigured Home Automation Kit

    1. An installation warranty period of four (4) weeks will be available from Sentegrate providing free remote support and configuration updates as requested by the Installer or the Homeowner.
    2. Sentegrate will provide 12 months support for the solution from the installation date providing free monthly remote health check and support for operation of the Preconfigured Home Automation Kit.
    3. Any changes to the Preconfigured Home Automation Kit functionality requested by the Installer or the Homeowner during the post installation warranty period and 12 months support period will be chargeable. Sentegrate will assess each change request and provide a quote to the Installer or the Homeowner.
    4. Installer or the Homeowner will need to report all defects or changes through Sentegrate website support portal. Sentegrate will perform support approved by the Installer or the Homeowner. All security or access related changes for the Installer must be approved by the Homeowner.
    5. Product manufacturer warranty would be available to the Installer as per the manufacturer’s terms of warranty for each product. The Installer or Homeowner may be required to ship the faulty device by any suitable parcel service to the address specified by Sentegrate or the manufacturer in the case the product requires back to base warranty service.
    6. In the case that Preconfigured Home Automation Kit is dead on arrival or shows major functional failure the Installer will ship the whole kit back to Sentegrate for diagnosis and fault resolution.
    7. Any problems experienced by the Preconfigured Home Automation Kit as a result of the changes to the Installer or Homeowners provisioned systems such as internet connections to the premises, mobile phone operating system will not be covered by the Sentegrate warranty support. Any support provided by Sentegrate for such issues may be chargeable to the Installer or the Homeowner
    8. Any addition or update to Preconfigured Home Automation Kit by Sentegrate technician after installation will not alter the warranty and support period.
    9. Administrative access to the Preconfigured Home Automation Kit will only be available to Sentegrate during the installation and post installation support period. In the case the Installer or the Homeowner requires administrative access to the Preconfigured Home Automation Kit, Sentegrate support will be voided.
    10. If Preconfigured Home Automation Kit configuration is altered by anyone other than Sentegrate personnel, then Sentegrate may reset system configuration to default setting to continue further support.
    11. On expiry of the 12 months free support period specified in this Agreement, the Installer or Homeowner will have option to engage Sentegrate for extended support service at a fee applicable at the time.

I. No Liability

    1. Sentegrate shall not be liable for performance of the home automation functions variation or failure due to change, malfunction or temporary outage of dependent services or products such as Homeowners’ mobile hardware or software, internet services, electricity services.
    2. Sentegrate shall not be liable for automation system malfunction due to changes applied by anyone other than authorised Sentegrate staff.
    3. Sentegrate shall not be liable for automation system malfunction due to application software updates released by any of the original product manufacturer of the Preconfigured Home Automation Kit and changes to their support for any dependent systems.
    4. During delivery and installation of the Preconfigured Home Automation Kit, Sentegrate will not be liable for any delay or changes in solution due to act of third parties beyond Sentegrate’s control or local, state, national regulatory changes or natural disasters.
    5. To the extent permitted by law, all warranties, terms and conditions in relation to the Preconfigured Home Automation Kit and the supply of goods and services under this Sales Agreement which may otherwise be implied by use, statute or otherwise are excluded.
    6. To the extent permitted by law, Sentegrate has no liability to the Installer for any loss of profits, revenue, use, opportunity or contract, liability incurred by the Installer to any third party, theft of property, damage caused by third parties, indirect loss, consequential or special losses.

J. Intellectual Property

    1. “Intellectual Property” means information relating to proprietary rights prior to any public disclosure of such information including but not limited to the nature of the proprietary rights, software programs and codes, technical and development of products and services, and information regarding acquiring, protecting, enforcing and licensing proprietary rights.
    2. Sentegrate reserves all rights to its Intellectual Property including but not limited to the information and solution related to Sentegrate design, program codes, configuration, reports and any other explicit and implied components defined and developed by Sentegrate.
    3. Sentegrate will retain copyright in all the documents and web site contents provided to the Installer.
    4. The Installer agrees that they will not reproduce, duplicate, copy, reverse engineer Sentegrate Preconfigured Home Automation Kit solution or components or incorporate these in their own solution for commercial or non-commercial purposes.
    5. Sentegrate may share Preconfigured Home Automation Kit sales information with Digital Home Systems Pty Ltd for Installers referred to Sentegrate by them.

K. Data Collection and Privacy

    1. Sentegrate may collect information related to Installer and Homeowner and their usage of the Preconfigured Home Automation Kit to render sales and service to the Installer and the Homeowner. Sentegrate may also use the information to troubleshoot support issues and improve future Sentegrate services.
    2. Sentegrate will take reasonable measures to protect information collected from the Installers and Homeowners from misuse and loss and from unauthorized access, modification or disclosure.
    3. When the information collected by Sentegrate is no longer needed for the purpose for which it was obtained, Sentegrate will take reasonable steps to destroy or permanently de-identify any Personal data
    4. Sentegrate order information including copies of invoices will be shared with Digital Home Systems where the Installer has been referred to Sentegrate by them.

L. Others

  1. The laws of NSW govern this Sales Agreement.
  2. If any provision or part provision of this Sales Agreement is invalid or unenforceable such provision shall be deemed deleted but only to the extended necessary and remaining provisions of this Sales Agreement shall remain in full force and effect.
